We operate in merger & takeover transactions, domestic and foreign, with a differential: the defense of shareholders’ interest. Our structure allows us to act more closely to the controlling shareholders and to guide them in the negotiation process and assist in decision-making.
We attend meetings with traders, guide the client on critical points and legal risks, and keep dialoguing with other lawyers involved in the transactions.
We advise clients in opening (IPO) and closing (OPA) securities transactions; formation of joint ventures and commercial partnerships, foreign investments in Brazil and Brazilians’ investments abroad.
Our activities include:
- Legal preparation for sale: due diligence of diagnosis, review of the corporate structure and any other changes necessary for the sale;
- Preparation of pre-negotiation documents such as non-disclosure agreements (NDA) and memorandum of understanding (MoU);
- Preparation, review and negotiation of all agreements necessary for the transaction;
- Performance, monitoring and analysis of due diligence results;
- Monitoring and preparation of pre and post-closing acts.
